1. Acceptance of These Terms
These Terms of Use (these βTermsβ) govern your access to and use of the website located at karamariewines.com (the βSiteβ) and any order you place through the Site. The Site is operated by Lisa Lisa Inc., a California corporation doing business as Kara Marie Wines (the βCompanyβ).
By accessing the Site, enrolling in the wine club, or placing an order, you agree to be bound by these Terms. If you do not agree, do not use the Site.
The Privacy Policy, the Shipping Policy, and the Refund and Returns Policy, each posted on the Site, are incorporated into these Terms by reference and form part of the agreement between you and the Company.
2. Eligibility and Age Requirement
2.1 The Site and all products offered through it are intended solely for individuals who are twenty-one years of age or older and located in the United States. By using the Site, you represent that you are at least twenty-one years of age.
2.2 By placing an order, you further represent that the recipient of the shipment is at least twenty-one years of age, and that the wine is being purchased for personal consumption and not for resale.
2.3 Federal and state law requires that an adult twenty-one years of age or older present valid government-issued photo identification and sign for delivery. Shipments will not be released without an adult signature. Deliveries cannot be made to post office boxes.
2.4 The Company may refuse, limit, or cancel any order, and may decline or terminate any wine club membership, where it has reason to believe that these requirements are not satisfied or that applicable law would be violated.
3. Site Content and Intellectual Property
3.1 The Site and its contents, including the names Kara Marie Wines, Ra Ra Wine Co., and Little Ra Ra Ferments, all associated logos and label artwork, photographs, illustrations, text, and page design, are owned by the Company or licensed to it, and are protected by United States copyright and trademark law.
3.2 The Company grants you a limited, revocable, non-exclusive, non-transferable license to access and view the Site for personal, non-commercial purposes. No other right or license is granted.
3.3 You may not reproduce, distribute, modify, publicly display, or create derivative works from any part of the Site, and may not use any Company name, logo, or label artwork, without prior written permission from the Company.
4. Prohibited Conduct
In connection with the Site, you may not: (a) use the Site for any unlawful purpose or in violation of any applicable alcoholic beverage law; (b) purchase wine for resale, or for delivery to any person under twenty-one years of age; (c) provide false, inaccurate, or misleading information, including in connection with age confirmation or delivery; (d) circumvent or attempt to circumvent any age verification, security, or access control measure; (e) access the Site by automated means, including scraping, crawling, or harvesting data; or (f) interfere with the operation of the Site or impose an unreasonable load on its infrastructure.
5. Orders and Purchases
5.1 Order processing and seller of record. Orders placed through the Site are processed by Vinoshipper, a licensed alcoholic beverage retailer and compliance service. Depending on the destination state and the licensing arrangement applicable to that state, the seller of record for your order may be the Company or Vinoshipper. The seller of record for your order is identified in your order confirmation.
5.2 Order acceptance. Your submission of an order constitutes an offer to purchase. An order confirmation acknowledges receipt of that offer and does not constitute acceptance. Acceptance occurs, and a binding contract is formed, only when the order is shipped. Until that time, the order may be cancelled in whole or in part.
5.3 Availability and quantity limits. Production is limited, and wines may become unavailable without notice. The Company may limit the quantity available to any customer, household, or order.
5.4 Pricing and description errors. Despite reasonable efforts, the Site may contain errors in price, description, availability, or image. The Company reserves the right to correct any such error and to cancel or decline any order placed in reliance on it, including after an order confirmation has been sent. Where an order is cancelled after payment, the amount charged will be refunded.
5.5 Taxes, fees, and container deposits. Applicable sales, excise, and use taxes, shipping charges, and any container redemption deposit required by law, including the California Redemption Value, are calculated at checkout and added to your order.
5.6 Payment. Payment is processed by Vinoshipper. The Company does not receive or store full payment card numbers. You represent that you are authorized to use the payment method you provide.
6. Wine Club Membership
6.1 Enrollment and tiers. The wine club is offered in tiers distinguished by the number of bottles included in each release. You select your tier at enrollment and may request a change to another tier by contacting the Company.
6.2 Automatic renewal and billing. Wine club membership is a continuous program. It renews automatically and remains in effect until you cancel. There are three club releases per year. You are not billed on a fixed monthly or annual schedule. Instead, for each release, the payment method on file is charged the then-current price for your tier, together with applicable taxes, container deposits, and shipping. The Company will send notice by email to the address on file at least seven days before each release is billed.
6.3 Skipping a release. You may skip any release, without cancelling your membership, at any time before that release is billed. To skip a release, contact the Company using the information in Section 15. Skipping a release does not affect your tier.
If you skip two consecutive releases, the Company may suspend the benefits of membership while your enrollment continues. Benefits are restored on the next release you take. The Company applies this at its discretion.
6.4 Cancellation. You may cancel your wine club membership at any time. There is no notice period, no minimum number of releases, and no cancellation fee. To cancel, use the cancellation link provided on the wine club page of the Site and in every club email, which opens a pre-addressed message that requires no additional information from you, or contact the Company using the information in Section 15. Cancellation takes effect upon receipt and applies to all releases not yet billed. Cancellation does not reverse a release that has already been billed; that release will be fulfilled and is governed by the Refund and Returns Policy.
6.5 Price changes. Tier prices may change. The price applicable to any release is the price in effect at the time that release is billed. The Company will provide notice of a price change, in a form capable of being retained by you and together with information on how to cancel, not less than seven days and not more than thirty days before the change takes effect. You may skip the affected release or cancel your membership before billing occurs.
6.6 Membership information. You are responsible for maintaining a current shipping address, email address, and payment method. The Company may suspend or cancel a membership for non-payment, for an invalid or undeliverable address, or where shipment to your state is not permitted.
7. Shipping and Delivery
Shipping is governed by the Shipping Policy posted on the Site, which is incorporated into these Terms. The Company ships only to states in which shipment is permitted under applicable law, and only within the United States. Delivery requires the signature of an adult twenty-one years of age or older. Risk of loss and the consequences of a failed, refused, or undeliverable delivery are addressed in the Shipping Policy.
8. Returns and Refunds
Returns and refunds are governed by the Refund and Returns Policy posted on the Site, which is incorporated into these Terms. Because alcoholic beverages are subject to legal restrictions on return and resale, returns are accepted only in the circumstances described in that policy.
9. Events
9.1 Certain events are hosted in conjunction with partner venues or businesses. Registration, ticketing, payment, and admission for those events are administered by the partner and are governed by the partnerβs own terms, not by these Terms.
9.2 For events hosted directly by the Company, the service and consumption of wine is limited to individuals twenty-one years of age or older. Minors may be permitted to attend when accompanied by a parent or legal guardian, subject to the rules of the venue and to applicable law. The Company and the venue each reserve the right to exclude minors from an event or from any portion of it.
9.3 Capacity may be limited, and the Company may modify, reschedule, or cancel an event. Any registration fee and its refundability will be stated at the time of registration.
10. Third-Party Services and Links
The Site relies on services operated by third parties, including Vinoshipper, and may contain links to third-party websites and social media platforms. Those services and websites are governed by their own terms and policies. Vinoshipper is operated by Zero Link Markets, Inc., and its terms and return policy are published at vinoshipper.com/info/term.htm. The Company does not control these services and is not responsible for their content, availability, or practices.
11. Disclaimer of Warranties
THE SITE AND ALL PRODUCTS AND SERVICES OFFERED THROUGH IT ARE PROVIDED ON AN βAS ISβ AND βAS AVAILABLEβ BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY PRODUCT DESCRIPTION IS COMPLETE OR CURRENT.
Wine is an agricultural product. Variation in appearance, aroma, and flavor between vintages, lots, and individual bottles is inherent to the product and does not constitute a defect.
12. Limitation of Liability and Indemnification
12.1 TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS OR DATA, ARISING OUT OF OR RELATING TO THE SITE, ANY PRODUCT PURCHASED THROUGH IT, OR THESE TERMS. THE COMPANYβS TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE ORDER GIVING RISE TO THE CLAIM.
12.2 Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, the Companyβs liability is limited to the greatest extent permitted by law.
12.3 You agree to indemnify and hold harmless the Company and its officers, directors, and employees from any claim, loss, or expense, including reasonable attorneysβ fees, arising out of your breach of these Terms, your misuse of the Site, or your violation of any law in connection with a purchase.
13. Governing Law and Disputes
These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or to any purchase made through the Site will be brought exclusively in the state or federal courts located in Sonoma County, California, and you consent to the jurisdiction of those courts.
14. Changes to These Terms; General
14.1 The Company may modify these Terms at any time. The Last Updated date above will be revised accordingly. Changes apply to orders placed and wine club releases billed after the revised Terms are posted. Your continued use of the Site after that date constitutes acceptance of the revised Terms.
14.2 If any provision of these Terms is held unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force.
14.3 The failure of the Company to enforce any provision is not a waiver of that provision or of any other provision.
14.4 You may not assign these Terms. The Company may assign them in connection with a merger, acquisition, or sale of all or substantially all of its assets.
14.5 These Terms, together with the Privacy Policy, the Shipping Policy, and the Refund and Returns Policy, constitute the entire agreement between you and the Company regarding the Site and supersede any prior understanding on that subject.
